Ergänzende Bestimmungen für die Geschäftsbereiche Internet und Portale lesen Sie unter www.viva.de nach. Sie sind ebenfalls Bestandteil dieser Allgemeinen Geschäftsbedingungen.

1. Die VIVA GmbH (nachfolgend VIVA genannt) erbringt alle nachfolgend bezeichneten Leistungen ausschließlich auf Grundlage dieser Geschäftsbedingungen. Die Geschäftsbedingungen gelten auch für zukünftige Geschäfte mit dem Besteller, selbst wenn sie nicht erneut ausdrücklich vereinbart werden. Abweichungen von diesen Geschäftsbedingungen erkennt VIVA nicht an, es sei denn, dass ihrer Geltung ausdrücklich zugestimmt wurde. Diese Geschäftsbedingungen gelten auch dann, wenn VIVA in Kenntnis entgegenstehender oder abweichender Bedingungen des Kunden die Lieferung an den Kunden vorbehaltlos ausführt. Nebenabreden und abweichende Vereinbarungen werden erst durch die schriftliche Bestätigung von VIVA rechtswirksam. VIVA kann seine Rechte und Pflichten aus diesem Vertrag auf einen oder mehrere Dritte übertragen (Vertragsübernahme).
VIVA ist berechtigt, den Inhalt dieser Geschäftsbedingungen mit Zustimmung des Kunden zu ändern, sofern die Änderung unter Berücksichtigung der Interessen von VIVA für den Kunden zumutbar ist. Die Zustimmung zur Vertragsänderung gilt als erteilt, sofern der Kunde der Änderung nicht binnen vier Wochen nach Zugang der Änderungsmitteilung widerspricht. Stimmt der Kunde den Änderungen nicht zu, gelten die Geschäftsbedingungen, denen er letztmalig zugestimmt hat.

2. Die Angebote sind freibleibend und unverbindlich, soweit sich aus der Auftragsbestätigung nichts anderes ergibt. Der Vertrag kommt erst mit Gegenzeichnung (z.B. durch Auftragsbestätigung) der Bestellung durch VIVA oder mit der ersten Erfüllungshandlung zustande. Die Angebote und Auftragsbestätigungen erfolgen stets vorbehaltlich der rechtzeitigen und ordnungsgemäßen Selbstbelieferung durch die Lieferanten von VIVA. Bei Nichtverfügbarkeit wird der Besteller unverzüglich informiert. Bereits erbrachte Gegenleistungen werden dann unmittelbar zurückerstattet.

3. Die Preise verstehen sich ab Werk. Mehrwertsteuer und andere gesetzliche Abgaben im Lieferland sowie Verpackung, Versandkosten, Umweltpauschale werden dem Besteller entsprechend der jeweils gültigen Preise berechnet. VIVA behält sich das Recht vor, den Preis angemessen zu erhöhen, wenn nach Abschluss des Vertrages Kostenerhöhungen – insbesondere aufgrund von Preiserhöhungen seitens der Lieferanten und von Wechselkursschwankungen – eintreten. Auf Verlangen des Bestellers weist VIVA die Änderungen nach. Zahlungen sind sofort nach Rechnungsstellung ohne jeden Abzug fällig.

4. Der Liefertermin wird nach dem voraussichtlichen Leistungsvermögen von VIVA vereinbart und versteht sich unverbindlich und vorbehaltlich rechtzeitiger Selbstbelieferung (bei Nichtverfügbarkeit gelten die unter 2 ausgeführten Grundsätze) und unvorhergesehener Umstände sowie Hindernisse, unabhängig davon, ob diese bei VIVA oder beim Hersteller eintreten, insbesondere höhere Gewalt, staatliche Maßnahmen, Nichterteilung behördlicher Genehmigungen, Arbeitskämpfe jeder Art, Sabotage, Rohstoffmangel, unverschuldete verspätete Materiallieferungen usw. Derartige Ereignisse verlängern den Liefertermin entsprechend und zwar auch dann, wenn sie während eines bereits eingetretenen Verzuges auftreten. Sollte VIVA mit einer Lieferung um mehr als vier Wochen in Verzug geraten, kann der Käufer nach einer schriftlich gesetzten angemessenen Nachfrist unter Ausschluss weiterer Ansprüche vom Vertrag zurücktreten. Das Recht zu zumutbaren Teillieferungen und deren Fakturierung bleibt VIVA ausdrücklich vorbehalten.

5. Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist Lieferung ab Werk vereinbart. Die Gefahr geht mit Übergabe an den Frachtführer, dessen Beauftragten oder anderen Personen auf den Kunden über. Dies gilt auch dann, wenn VIVA die Transportkosten trägt. Beanstandungen aufgrund von Transportschäden hat der Käufer unmittelbar gegenüber dem Transportunternehmen innerhalb der vorgesehenen besonderen Fristen geltend zu machen. Der Abschluss von Transport- oder sonstigen Versicherungen bleibt dem Käufer überlassen. Dies gilt auch für Rücksendungen, siehe Ziffer 9.

6. VIVA behält sich das Eigentum an den gelieferten Waren und Dienstleistungen vor, solange ihr noch Forderungen aus den gegenwärtigen und künftigen Geschäftsverbindungen mit dem Besteller in Höhe der jeweiligen Rechnungssummen zustehen. Solange VIVA noch Forderungen aus den gegenwärtigen und künftigen Geschäftsverbindungen mit dem Besteller hat, kann sie bis zur endgültigen Begleichung aller Forderungen die gelieferte Ware/Dienstleistung zurückfordern und/oder die Nutzung der Ware/Dienstleistung untersagen und/oder sperren. Die dafür notwendigen Aufwendungen und Schäden trägt ausschließlich der Kunde. Der Kunde tritt seine Forderung aus dem Weiterverkauf und der von VIVA gelieferten Produkte in voller Höhe ab. Er sichert uns ein unwiderrufliches Zutrittsrecht zu den Waren zu, solange nicht sämtliche Forderungen beglichen wurden. Hat der Käufer auf, von uns gelieferten und noch in unserem Eigentum stehenden, Datenträgern Daten aufgenommen, so bleibt unser Eigentum davon unberührt. Die Waren dürfen vor vollständiger Bezahlung weder an Dritte verpfändet noch zur Sicherheit übereignet werden. Solange der Besteller seinen Verpflichtungen VIVA gegenüber ordnungsgemäß nachkommt, ist er berechtigt, diese Forderungen im eigenen Namen einzuziehen.

Wenn der Wert der gestellten Sicherheit 20 Prozent der Forderungen von VIVA übersteigt, verpflichtet sich VIVA, insoweit Sicherheiten freizugeben. Die Auswahl der freizugebenden Sicherheiten obliegt VIVA. Kommt der Besteller seinen Abnahmepflichten nicht nach, ist VIVA berechtigt, ohne Nachweis von dieser Summe zehn Prozent als Schadensersatz zu verlangen, es sei denn, dass der Besteller einen niedrigeren Schaden nachweisen kann. Auch höhere Schäden bei VIVA sind nicht ausgeschlossen, sofern durch VIVA ein höherer Schaden nachgewiesen wird. Der Besteller übernimmt auf Kosten von VIVA die ggf. notwendige Entsorgung der gelieferten Waren und Verpackungen.

Verlangt keine der Vertragsparteien eine förmliche Abnahme oder kommt der von einer Partei verlangte Abnahmetermin nicht zustande, gilt die vertragliche Leistung von VIVA spätestens mit Nutzung durch den Kunden als abgenommen.

7. Die Rechnungen sind zahlbar rein netto Kasse sofort nach Erhalt der Ware bzw. Erbringung der Leistung. Bei Dauerschuldverhältnissen (z.B. Miete, Hosting, Support, etc.) sind die Rechnungen mit Beginn der Periode (Monat oder Jahr) vorschüssig zahlbar. Das Rechnungsdatum gilt im Zweifel als Lieferdatum bzw. Datum der Leistungserbringung.

Eine Zahlung erfolgt nur dann termingerecht, wenn das Zahlungsmittel (z.B. Schecks) uns innerhalb sieben Tagen ab Rechnungsdatum zur Einlösung vorliegt. Scheck oder Wechsel werden unter dem Vorbehalt der endgültigen Gutschrift angenommen.

Bei Gewährung eines Zahlungszieles ist die Zahlung nur dann rechtzeitig erfolgt, wenn das Zahlungsmittel (z. B. Scheck oder Wechsel) VIVA am Tage des Fristablaufes zur Einlösung vorliegt oder der vereinbarte Rechnungsbetrag durch eine Überweisung unserem Konto gutgeschrieben wird.

Der Beweis für den rechtzeitigen Zugang obliegt dem Schuldner. Der Kaufpreis wurde auf der absoluten Einhaltung des vereinbarten Zahlungszieles kalkuliert. Bei nicht rechtzeitigem Zahlungseingang sind sich die Parteien darüber einig, dass sich der Kaufpreis um fünf Prozent erhöht. Wir nehmen Bankkredit in Anspruch. Soweit wir keinen höheren Verzugsschaden nachweisen, werden darüber hinaus ein Prozent pro Monat an Verzugszinsen berechnet. Bei Zahlungsverzug des Käufers sind wir berechtigt, alle noch offenen Forderungen einschließlich derjenigen, für die Wechsel gegeben wurden, sofort fällig zu stellen und ausstehende Lieferungen unter Fortfall des Zahlungszieles nur gegen Vorauszahlungen auszuführen. Sofern VIVA nicht die Rückgabe verlangt, gelten Auswahlen (Leihstellungen), die nicht innerhalb der ausgewiesenen Frist bei uns eingehen, gelten mit dem Tag des Fristablaufes als gekauft. Die Auswahlrechnung wird nach Fristablauf zur Festrechnung.

Hiervon abweichende Vereinbarungen sind nur gültig, wenn diese für jede einzelne Lieferung auf der Auftragsbestätigung und Rechnung besonders zusätzlich vermerkt werden.

Der Kunde ist nicht berechtigt, gegenüber VIVA aufzurechnen oder Zurückbehaltungsrechte geltend zu machen, es sei denn, dass die Forderungen des Bestellers gegenüber VIVA unbestritten sind oder rechtskräftig festgestellt wurden.

8. Der Kunde hat gelieferte Ware/Dienstleistungen unverzüglich nach deren Ablieferung auf etwaige Sachmängel, Mengenabweichungen oder Falschlieferung zu untersuchen. Eine insgesamt oder in Teilen fehlerhafte Lieferung hat er unverzüglich nach Entdeckung, spätestens innerhalb einer Woche nach Lieferung schriftlich anzuzeigen. Eventuelle Mängel sind darüber hinaus aussagekräftig, insbesondere unter Protokollierung angezeigter Fehlermeldungen, zu dokumentieren. Der Kunde ist verpflichtet, vor Anzeige des Mangels zunächst eine Problemanalyse und Fehlerbeseitigung nach dem Bedienerhandbuch durchzuführen. Die Anzeigefrist beträgt für Mängel, die bei der nach Art der Ware gebotenen sorgfältigen Untersuchung erkennbar waren, längstens eine Woche. Sonstige Mängel sind unverzüglich nach ihrer Entdeckung anzuzeigen. Ist der Kunde Kaufmann und versäumt er die unverzügliche, frist- oder formgerechte Anzeige des Mangels, gilt die Ware in Ansehung dieses Mangels als genehmigt. Sämtliche fehlende oder nicht eindeutige Definitionen/Absprachen, beispielsweise hinsichtlich des Leistungsgegenstandes, der Terminierung, der Ausführung oder der Abwicklung, stellen keinen Mangel dar und gehen zu Lasten des Kunden. Diesbezügliche Änderungen bedürfen in jedem Einzelfall der ausdrücklichen und konkreten Zustimmung durch VIVA. Fehlerhafte Mängelanzeigen, die beispielsweise auf einem Verständnisproblem oder einem Anwenderfehler beruhen, werden dem Kunden zum jeweils gültigen Stundensatz, mindestens jedoch zum Stundensatz von 130,- Euro/Stunde, berechnet.

Bei berechtigten Beanstandungen wird VIVA nach seiner Wahl Mengen nachliefern, die Ware umtauschen, diese zurücknehmen oder dem Kunden einen Preisnachlass einräumen. Grundsätzlich hat VIVA das Recht, die gelieferte Ware zweimal nachzubessern.

Schadenersatzansprüche, ganz gleich welcher Art, gelten in diesen Fällen als ausgeschlossen. Liegt jedoch ein grob fahrlässiges Verschulden von VIVA vor, gilt als vereinbart, dass Schadensersatzansprüche nur bis zur Höhe des Kaufpreises eines beanstandeten Teiles innerhalb einer Warenlieferung oder Dienstleistung innerhalb eines Zeitraumes gestellt werden können.

Für Einsendungen nach Ablauf der Garantie berechnen wir dem Kunden eine Bearbeitungsgebühr von mindestens Euro 50,-. Das gilt auch dann, wenn der Artikel irreparabel ist oder nicht von uns bezogen wurde.

9. Rücksendungen werden nur vorbehaltlich unserer Prüfung angenommen. In jedem Fall erfolgt die Rücksendung, auch die des zufälligen Untergangs, auf Gefahr des Bestellers. Bei Rücksendungen, die der Kunde zu vertreten hat, insbesondere – aber nicht ausschließlich – im Falle von Annahmeverweigerungen, werden wir eine Wiedereinlagerungspauschale berechnen.

10. Soweit nicht ausdrücklich etwas anderes vereinbart wurde, sind unsere individuellen Kundendemonstrationen kostenlos. Kundendemonstrationen sind jedoch automatisch kostenpflichtig, wenn sich herausstellt, dass der Kunde keine Nutzungsabsichten besitzt, bzw. VIVA vorsätzlich über seine wahren Absichten täuscht oder im Unklaren lässt. Dies ist insbesondere dann der Fall, wenn es sich bei dem Kunden um einen direkten oder indirekten Mitbewerber handelt oder um einen Kunden, der quasi im Auftrag oder als Strohmann eines Mitbewerbers agiert. Sofern VIVA keinen höheren Schaden nachweist, muss der Kunde den entstandenen Schaden zum vollen Tagessatz ersetzen.

11. Sollten Bestimmungen dieser Allgemeinen Geschäftsbedingungen und/oder des Vertrages unwirksam sein oder werden, so berührt dies die Wirksamkeit der übrigen Bestimmungen nicht. Vielmehr gilt anstelle jeder unwirksamen Bestimmung eine dem Zweck der Vereinbarung entsprechende oder zumindest nahekommende Ersatzbestimmung, wie sie die Parteien zur Erreichung des gleichen wirtschaftlichen Ergebnisses vereinbart hätten, wenn sie die Unwirksamkeit der Bestimmung gekannt hätten. Entsprechendes gilt für Unvollständigkeiten. Es gelten die Verkaufsbedingungen in der jeweils neusten Fassung.

12. Erfüllungsort für Lieferung und Zahlung ist Koblenz. Ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag ist, wenn der Kunde Kaufmann, juristische Person des öffentlichen Rechts, öffentlich – rechtliches Sondervermögen oder im Inland ohne Gerichtsstand ist, Koblenz. VIVA ist darüber hinaus berechtigt, den Kunden an seinem allgemeinen Gerichtsstand zu verklagen. Für die von VIVA auf der Grundlage dieser Allgemeinen Geschäftsbedingungen abgeschlossenen Verträge und für aus ihnen folgende Ansprüche, gleich welcher Art, gilt ausschließlich das Recht der Bundesrepublik Deutschland unter Ausschluss der Bestimmungen zum Einheitlichen UN-Kaufrecht über den Kauf beweglicher Sachen (CISG).

General Production Types with VIVA Publishing Solutions

VIVA is one of the leading technology companies worldwide in optimizing marketing processes. Hardly any other manufacturer of standard software offers more options for optimizing marketing processes. VIVA offers four different types of publishing productions:

  • Fully automatic production,
  • Semi-automatic production,
  • Manual production, or
  • Combined production

Option 1: Fully automatic production

With a fully automatic production using VIVA publishing servers, the employees normally don‘t have to learn any new software: The VIVA publishing servers can be integrated into every workflow, so that many users create the marketing documents with a keystroke straight from SAP, MS Navision or other applications such as Excel, Access or Web portals.

For this reason too, the installation of special software on the employee’s workstation is usually unnecessary.

Since the documents are produced in real time, long delays have become a thing of the past. The employee receives the results within just a few seconds. Therefore a document can generally be produced much more cheaply, since with this method all manual tasks become superfluous. A positive side effect: Thanks to the integrated rule system, sources for errors are reduced considerably. The cleft between print and databases or enterprise resource planning (ERP) is closed. Incorrect information such as article numbers, prices or descriptions and technical data in printed matter is finally brought to an end.

Option 2: Semi-automatic production

Even with semi-automatic production, the employees don’t have to learn any new software: With Database Publishing® tools from VIVA, your employees will, after a brief training, create documents that conform to your CD by Drag and Drop. The software can be used on the desktop or even in the Web.

Option 3: Manual production

Even with manual production using VivaDesigner, the employees don’t have to learn any new software: With this software, your employees will immediately create documents that conform to your CD. With the “Distributed Publishing” technology, the program functionality can be steered or reduced in individual stages for every single document. Therefore an employee with basic knowledge of word processing or photo books can work with a complex layout program without training. The company decides the extent of the layout functions that the employee will receive. Furthermore: VIVA is the only supplier worldwide to offer a professional layout program with the same functionality both on the desktop and also in the Web. Through the unique functionality of embedding fonts in an open document, no fonts need to be installed on the employee’s computer. Last but not least: With the “Team Publishing” technology, several employees can even work simultaneously on one document. Even the graphic designer doesn’t need to learn any new software or create documents from scratch, as VIVA products can exchange documents with Adobe InDesign in an excellent quality.

Option 4: Combined production

All types of production can also be combined with one another. Thus a document that has been produced fully automatically can be edited in a manual process at any time.

General Workflows and Processes with VIVA Publishing Solutions

VIVA Publishing Solutions offer you many possibilities for creating documents:

  • You can create and edit documents in the same quality on the desktop or in the web.
  • You can create and edit documents manually (“Creative Process”) or with individual limitations (“Limited Creative Process”).
  • You can create and edit documents manually in a team (“Creative Team Process”) or with individual limitations (“Limited Team Process”).
  • You can create and edit documents manually using a database (“Database Publishing” Process by Drag & Drop) or with individual limitations (“Limited Database Publishing” Process by Drag & Drop).
  • You can create and edit documents semi-automatically using a database (“Database Publishing” Process with “creative” or “intelligent” forms).
  • You can create documents fully automatically using a database or forms.
  • You can edit all documents that were created semi-automatically or fully automatically, with or without limitations.
  • With ALL processes/workflows, you can edit the documents created with VIVA in third-party programs (e.g. Adobe® InDesign®).

Thus completely new possibilities arise for the structuring of processes/workflows for the creation, editing and management of documents. In all cases, VIVA documents can be saved as PDF, JPG, XML or IDML files for InDesign®.

1. “Creative” Process
In the creative process, a user has all the functionalities of a professional typesetting and layout program, irrelevant of whether he uses the program on the desktop or in the Web. With this process, the user constructs the document completely on his own, uses existing VIVA documents or imports templates from third party programs (e.g. Adobe® InDesign®). As an additional option, you can edit the documents created with VIVA in third party programs (e.g. Adobe® InDesign®).

This process is suitable for the manual production of all print documents for which no automation is necessary.

2. Limited “Creative” Process
In the limited creative process, a user has reduced editing functions, irrelevant of whether he uses the program on the desktop or in the Web. This process is useful if users should only edit certain parts of a document. In this process, a user can for example only edit the image crop, edit text and only assign predefined style sheets. The limitations can be defined individually for each document, and in the Web Edition they can also be assigned to specific roles. The creation of a suitable template takes just a few minutes.

This process is suitable for the manual editing of documents where the Corporate Design must be adhered to and when the users don’t want to learn any new software.

3. Creative “Team” Process
In the creative “team” process, many users can work simultaneously on “one” document on the desktop or in the Web, without a special database or management software being necessary. For this purpose, appropriate tasks are created, whereby each task is represented by a separate file. a task file contains all the objects that a user must edit. He can however also insert his own objects.

This process is suitable for the production of complex documents like magazines, newspapers or business reports.

4.Limited “Team” Process
With the limited “team” process, the editing functions are reduced in the same way as with the limited creative process.

5. Database Publishing Process by Drag & Drop
With the Database Publishing Process by Drag & Drop (“Easy Publishing”, “EP” for short), a document is linked to a data source (database, CSV file, etc.). On the basis of this data source and predefined layout rules, the user can create documents semi-automatically on the desktop or in the Web by Drag & Drop. A layout rule consists of a series of instructions as to how for example images and text should be displayed or formatted. Here the user drags the content from the data source to the required text or image objects in the document to which a layout rules has been assigned. The images and text are displayed automatically according to the layout rules. The user can also add his own content that is not part of the data source.

This process is suitable for semi-automatic production of very individual catalogs based on a database, whereby the layout of the data may be freely chosen by the user.

7. Database Publishing Process with “creative” forms
With the Database Publishing Process with “creative” forms (“Creative Publishing”, “CP” for short), a graphic template is created on a special page. These pages are called “Forms”, the document is called a “Template”. For setting up the template and the forms, the user has all the functions of a layout and typesetting program at his disposal. Forms can also be combined with master pages as backgrounds. The master pages may be assigned either manually or by using a rule. Picture objects are linked to the database via appropriate settings. In the text objects, variables for database fields are inserted.

The user can test the data source with the form on the desktop. Here the content from the database is linked automatically to the objects in the forms. an extensive set of rules enables the manipulation of data. In this way, content may be adapted based on the rules or typographic decisions may be taken as to how the content should be displayed, depending on certain parameters.

The templates created can also be linked with content from a database fully automatically by using a server process.

Since templates with creative forms generally have no clear layout rules, this process is suitable for semi-automatic and fully automatic production of very individual catalogs on the basis of a database, which also defines the order of the data.

8. Database Publishing Process with “intelligent” forms
With the Database Publishing Process with “intelligent” forms (“Intelligent Publishing”, “IP” for short), a schematic template is created on a special page. These pages are also called “Forms”, the document is called a “Template”. While in the process with creative forms the objects have fixed positions, objects in the process with intelligent forms may be positioned dynamically. This means that the position of an object may change in connection with another object. If for example an image and text share the same area, an image must become larger or smaller if the amount of text becomes smaller or larger. Intelligent forms can consist of a whole page or also part of a page (e.g. 1/2, 1/4 page, etc. In this case, pages my be built dynamically with several different forms and combined in any way. As well as text and picture objects, complex tables, charts/graphs and bar codes can be created dynamically.

9. Form-based Process
In every VIVA document, you can store manual or automated XML data in XMP format, which can be imported or analysed from another desktop or Web application. This technology is frequently used to apply individual and freely definable Meta data to documents. This can for example be Meta data for further editing such as information about the paper type to be used, the binding type or a pricing structure.

With a VIVA template with creative and/or schematic forms, the XML data may for example define a form that is analysed and displayed by a Web application. In this way a VIVA template with creative and/or schematic forms may be created not only on the basis of a separate data source, but also for individual entry.

This process is particularly suited for automated production of business cards, invitations and other printed matter that are not produced from a database.
